Terms of Service

These Terms of Service ("Terms") govern your use of SignOwl, an e-signature service operated by TechyOwls ("we," "us," or "our"). By accessing or using signowl.app (the "Service"), you agree to be bound by these Terms.

1. Service description

SignOwl provides an electronic signature platform that allows users to upload documents, place signature fields, send documents for signing, and manage the signing process. Recipients can review and sign documents from any device without creating an account.

2. Account registration

To use the Service as a document sender, you must create an account using Google OAuth. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate and complete information during registration.

3. Acceptable use

You agree not to use the Service to:

• Upload or transmit documents containing illegal, harmful, or fraudulent content
• Forge, manipulate, or misrepresent signatures or signing events
• Send unsolicited or bulk signing requests (spam)
• Attempt to bypass security measures, rate limits, or access controls
• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Use the Service in violation of any applicable law or regulation
• Transmit viruses, malware, or other malicious code through uploaded documents

4. Plans and pricing

The Service is available under multiple subscription plans with varying features and limits. Plan details, pricing, and feature availability are listed on our pricing page. We reserve the right to modify pricing with 30 days' notice.

• Free plan: Limited document sends with core signing features
• Paid plans: Higher limits, advanced features, and priority support

5. Payments and billing

All payments are processed by Paddle.com, who acts as our Merchant of Record. Paddle handles billing, invoicing, tax collection, and payment processing on our behalf. By purchasing a subscription, you also agree to Paddle's Terms of Service and Privacy Policy.

• Subscriptions are billed monthly or annually, depending on your chosen plan
• Payments are charged at the beginning of each billing period
• All prices are displayed inclusive of applicable taxes where required
• You may cancel your subscription at any time; access continues until the end of the current billing period

7. Electronic signatures

By using the Service, you acknowledge that electronic signatures created through SignOwl are intended to be legally binding under applicable electronic signature laws, including the U.S. ESIGN Act and EU eIDAS Regulation (for simple electronic signatures). However, we do not provide legal advice, and certain document types or jurisdictions may require additional formalities. You are responsible for determining whether electronic signatures are appropriate for your specific use case.

8. Document storage and retention

We store your uploaded documents and completed signing records for the duration of your account and for a reasonable period thereafter. We provide download functionality for completed documents. You are encouraged to maintain your own copies of all important documents.

9. Intellectual property

You retain all rights to the documents you upload. By using the Service, you grant us a limited license to store, process, and transmit your documents solely for the purpose of providing the Service. We do not claim ownership of your content.

The SignOwl name, logo, and all related trademarks, service marks, and branding are the property of TechyOwls. You may not use our branding without prior written consent.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

11. Limitation of liability

To the maximum extent permitted by law, SignOwl and TechyOwls shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Indemnification

You agree to indemnify and hold harmless SignOwl, TechyOwls, and their officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, though we may retain certain data as required by law or for legitimate business purposes.

15. Governing law

These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of Dhaka, Bangladesh.

16. Changes to these terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
